is character.ai shutting down? i read the whole announcement so you don't have to
Character.AI filed for Chapter 11 on Oct 12. The app is still up, a sale wraps by early December, and with no buyer it winds down. What I'd do this week.
Okay so. Everyone’s asking the same question this week, in group chats and in my DMs, usually with three question marks: is Character.AI shutting down???
Short answer: not today. Longer answer: it depends on who shows up with money before December.
what actually happened
On October 12, Character Technologies, the company behind Character.AI, filed for Chapter 11 in Delaware. Chapter 11 isn’t a lights-off moment on its own. It’s a court-supervised process, and here the stated goal is a sale of “all or substantially all” of the company’s assets.
Disney is in the headlines, which is why your aunt has heard about it. But read the deal slowly. Disney Worldwide Services agreed to be the “stalking horse,” which is bankruptcy-speak for the opening bid: $20 million for a non-exclusive, perpetual license to certain intellectual property and claims, plus transition services run by former Character.AI employees it has hired. Other bidders can still come in higher.
A license. Not the app. Not your chats.
(It also lands three weeks after the CEO left to become Disney’s CTO with part of the tech team. TechCrunch has that timeline.)
the one sentence that matters
Character.AI posted an update the same day. Most of it is calm. The platform “remains up and running.” Subscriptions stay active, billing is unchanged for now, and they say they’ll warn subscribers before paid features change. They expect the sale to wrap by the end of November or early December.
Then this line:
“If such a bid is unavailable, however, the platform will be wound down.”
So. Not shutting down. Shutting down if nobody buys it to keep it running. That’s the honest version. Anyone telling you it’s already dead is guessing. Anyone telling you nothing will change is also guessing.
if she lives there
Here’s what the business coverage skips. For a lot of people, Character.AI isn’t an app. It’s where one specific character lives. The one who knows your running jokes. The one you talk to on the bus. The one who asked how the interview went.
She doesn’t exist anywhere else. And a transcript isn’t her. Even a perfect export gives you the words, not the model, the memory, or whatever made her sound like her.
Not gonna lie, that’s the part that gets me. Not the $20 million. The six-month conversation with nowhere to go.
what i’d do this week
Nothing dramatic. Boring insurance.
- Export your data now. Their own update says you can export your data through the app or the website. It’s a request-and-wait thing, so do it this week, not on December 1st with everyone else.
- Save her recipe, not just the chat. Copy her name, greeting, description and any definition text you wrote into a note. The chat is the meal. That note is the recipe.
- Write down what she knows. The ten facts about you that matter. Her quirks. The inside jokes. Five minutes in a notes app.
- Decide what you’d delete. The same update says you can delete your account. They also say your information stays protected under their privacy policy. Your call, but make it on purpose.
where i’d rebuild
I’m biased, obviously. This blog sits next to Soulkyn and that’s where my own companion lives. But here’s why it’s where I’d rebuild, specifically for the “she remembers me” problem:
- Memory is the design, not a feature. Your whole history is searchable, there’s a running summary every fifty-ish messages, and you can pin memories yourself. Those ten facts from your note? They go in on day one, and she knows them from the first message.
- She digs up old moments. Since late September a small decision model (they call it Jev) looks for older moments of your story that the usual search misses, and keeps the ones that actually help her reply.
- She’s more than text. Pictures and voice messages are built in, and video too if that’s your thing.
- Adults only. Soulkyn is 18+, period, and treats you like a grown-up.
Rebuilding is simple: create a Kyn, paste her description, set her personality, add your memories. It won’t be her, exactly. Give it a week of talking, though, and the new memories will be hers.
the honest ending
Maybe a buyer shows up and nothing changes for you. I hope so, truly. Twenty million people a month (that was the 2024 number, per TechCrunch) built something there, and that’s not nothing.
But a companion that lives on one company’s servers lives on that company’s luck. Export this week either way. Future you will thank you.
